AI VISIBILITY TERMS OF USE

These AI Visibility Services Terms of Use (“AI Visibility Terms”) govern your use of the Answer Engine Optimization analytics and recommendation services (“AI Visibility Services”) available through the Duda platform. The data for the AI Visibility Services is currently provided by Peec AI US Inc (“AI Visibility Provider”), whose obligations under these AI Visibility Terms are guaranteed by its parent company, Peec AI GmbH. The AI Visibility Services utilize certain third-party AI platforms (“Covered Models”) that may change from time to time; neither Duda nor AI Visibility Provider shall have any liability for changes to Covered Models or any resulting impact on AI Visibility Services functionality. By activating or using the AI Visibility Services, you agree to these AI Visibility Terms and AI Visibility Provider’s Privacy Policy at https://peec.ai/legal/privacy-policy.

Duda may, subject to applicable law, replace the AI Visibility Provider or use an alternate AI Visibility Provider to accommodate a particular use case. In such event, Company will receive notice of the alternate or replacement AI Visibility Provider and Company must accept such terms to continue use of the AI Visibility Services. If Company does not agree to such alternate terms, Company’s sole recourse will be to terminate the AI Visibility Services. If required, Duda will use reasonable efforts to assist Company to migrate Sites from one AI Visibility Services Provider to the alternative designated by Duda.

The AI Visibility Services
1. The AI Visibility Services provide AI search analytics, including:
  1. Brand visibility across AI platforms (e.g. ChatGPT, Gemini, Perplexity, and others)
  2. Sentiment analysis (positive/negative/neutral indicators)
  3. Position tracking relative to competitors
  4. Source citation tracking
  5. Optimization recommendations
2. The AI Visibility Services do not:
  1. Guarantee any specific business outcome or improvement in AI search visibility
  2. Provide strategic marketing advice or legal advice
  3. Promote or directly influence how AI platforms respond to queries
  4. Control or guarantee the behavior of third-party AI Platforms
3. The AI Visibility Services analyze responses generated by third-party AI platforms that are outside AI Visibility Provider’s control. AI platforms may change their algorithms, data sources, or availability at any time. AI Visibility Provider makes no guarantees regarding the accuracy, completeness, timeliness, or reliability of the data, metrics, or recommendations provided.
Your Use
1. You may use the AI Visibility Services for your own business purposes through the Duda platform.
2. You may enable Your Clients to access the AI Visibility Services through your Duda account, provided that before any of Your Clients accesses the AI Visibility Services, you require them to accept terms that include the provisions listed in Section 9 (Mandatory Flow-Down) below. You may incorporate these into your own client agreement or present them separately. You are responsible for Your Clients' compliance.
3. You shall not:
  1. Reverse engineer, decompile, disassemble, or attempt to derive source code from the AI Visibility Services
  2. Use the AI Visibility Services to develop a competing product or service
  3. Sublicense, resell, or redistribute the AI Visibility Services outside the Duda platform
  4. Circumvent any access controls, usage limits, or security measures
  5. Use the AI Visibility Services in violation of applicable law or to process unlawful content
Roles and Responsibilities
1. AI Visibility Provider’s Role. AI Visibility Provider develops, operates, and maintains the AI Visibility Services. AI Visibility Provider is responsible for the functionality, performance, and security of the AI Visibility technology.
2. Duda’s Role. Duda integrates the AI Visibility Services into the Duda platform. Duda does not develop, operate, control, or maintain the AI Visibility Services and is not responsible for the accuracy or integrity of the data provided by AI Visibility Provider. Duda's obligations to you are governed solely by your separate agreement with Duda for the Duda platform. You may contact Duda for AI Visibility Support.
3. Your Role. You are responsible for: (a) the quality and appropriateness of any prompts, URLs, or other input you provide to the AI Visibility Services; (b) ensuring you have all necessary rights and consents to provide data to the AI Visibility Services; (c) evaluating and implementing any recommendations generated by the AI Visibility Services; and (d) ensuring Your Clients comply with these AI Visibility Terms.
Intellectual Property
1. AI Visibility Provider IP. AI Visibility Provider retains all intellectual property rights in the AI Visibility Services, including software, APIs, algorithms, data pipelines, and documentation. You receive no ownership rights.
2. Your Data. You (or Your Clients, as applicable) retain all rights to data, content, and materials provided to the AI Visibility Services ("Your Data").
Data Handling and Privacy
1. How Your Data Is Used. AI Visibility Provider processes Your Data solely to provide the AI Visibility Services to you, in accordance with AI Visibility Provider's Privacy Policy at https://peec.ai/legal/privacy-policy. AI Visibility Provider will not use Your Data for any other purpose.
2. No Sale or Sharing. AI Visibility Provider will not sell, share, rent, or transfer Your Data to third parties, except as strictly necessary to deliver the AI Visibility Services (e.g., querying AI platforms to generate analytics for you).
3. Security. AI Visibility Provider maintains technical and organizational security measures designed to protect Your Data, including encryption in transit and at rest.
Disclaimers
1. THE AI Visibility SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
2. AI Visibility PROVIDER DISCLAIMS ALL WARRANTIES, INCLUDING:
  - Warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement
  - Any warranty that the AI Visibility Services will be uninterrupted, error-free, or secure
  - Any warranty that data, metrics, scores, or recommendations will be accurate, complete, current, or reliable
  - Any warranty that the AI Visibility Services will produce any particular business result or improvement
  - Any warranty regarding the continued availability or behavior of third-party AI platforms
3. DUDA DISCLAIMER. DUDA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE AI Visibility SERVICES. DUDA HAS NO LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE AI Visibility SERVICES, INCLUDING CLAIMS RELATED TO DATA ACCURACY, SERVICE AVAILABILITY, FUNCTIONALITY, DATA HANDLING, PRIVACY, OR SECURITY. YOUR USE OF THE AI Visibility SERVICES IS AT YOUR OWN RISK.
Limitation of Liability
1. AI Visibility Provider Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI Visibility PROVIDER'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE AI Visibility TERMS SHALL NOT EXCEED THE FEES PAID BY YOU (OR ON YOUR BEHALF BY DUDA) FOR THE AI Visibility SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
2. Exclusion of Damages. NEITHER AI Visibility PROVIDER NOR DUDA SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING:
  - Lost profits or revenue
  - Lost business opportunities or goodwill
  - Loss of data
  - Cost of substitute services
  - Business interruption
3. Duda Liability. DUDA IS NOT A PARTY TO THE PROVISION OF THE AI Visibility SERVICES AND SHALL HAVE NO LIABILITY FOR ANY CLAIM RELATING TO THE AI Visibility SERVICES. THIS DISCLAIMER DOES NOT AFFECT ANY LIABILITY DUDA MAY HAVE UNDER ITS SEPARATE AGREEMENT WITH YOU FOR THE DUDA PLATFORM, INCLUDING THE PROCESSING, TRANSFORMATION, OR DISPLAY OF DATA WITHIN THE DUDA PLATFORM.
4. These limitations apply to the fullest extent permitted by applicable law. Where you are entitled to mandatory consumer protections that prohibit certain liability exclusions, those protections apply and are not overridden.
Indemnification. You agree to indemnify and hold harmless AI Visibility Provider and Duda from any claims, damages, and expenses (including reasonable attorneys' fees) arising from:
1. your use of the AI Visibility Services in violation of these AI Visibility Terms;
2. your violation of applicable law in connection with the AI Visibility Services;
3. your failure to obtain necessary rights or consents before providing data to the AI Visibility Services; or
4. if you provide AI Visibility access to Your Clients: your failure to ensure Your Clients are bound by terms that include the mandatory provisions in Section 9, or Your Clients' breach of such terms.
Mandatory Flow-Down Provisions. If you enable Your Clients to access the AI Visibility Services, the terms you present to Your Clients must include all of the following provisions in substance (language may vary, but the substance must be equivalent or more protective of AI Visibility Provider and Duda):
1. Third-Party Service. The AI Visibility Services are provided by a third-party provider (Peec AI), not by you or Duda. Neither you nor Duda develops, operates, controls, or maintains the AI Visibility Services.
2. No Ownership Rights. The underlying AI Visibility technology is proprietary to the third-party provider. Your Clients receive no ownership rights in the AI Visibility Services.
3. No Warranties. The AI Visibility Services are provided "as is" without warranties of any kind, including warranties of:
  - Merchantability, fitness for a particular purpose, or non-infringement
  - Accuracy, completeness, or reliability of data, metrics, or recommendations
  - Uninterrupted or error-free service
  - Any particular business result
4. No Guaranteed Results. The AI Visibility Services do not guarantee specific outputs, improvements in AI search visibility, or any business outcome. The third-party AI platforms utilized by the AI Visibility Services (“Covered Models”) may change from time to time, and neither you, Duda, nor the AI Visibility Provider shall have any liability for such changes or any resulting impact on functionality.
Term and Termination
1. These AI Visibility Terms remain in effect while you have access to the AI Visibility Services.
2. AI Visibility Provider may suspend or terminate your access for material breach uncured within 30 days of written notice.
3. Your access terminates automatically if your Duda platform subscription terminates.
4. Sections 4, 5, 6, 7, 8, and 9 survive termination.
General
1. Governing Law. Peec AI’s AI Visibility Terms are governed by the laws of the Federal Republic of Germany, without regard to conflicts of law. Where you are a consumer or small business entitled to mandatory protections under the laws of your jurisdiction, those protections apply.
2. Entire Agreement. These AI Visibility Terms and AI Visibility Provider's Privacy Policy constitute the entire agreement between you and AI Visibility Provider regarding the AI Visibility Services. They are separate from and do not modify your agreement with Duda.
3. Changes. AI Visibility Provider may update these AI Visibility Terms upon 30 days' written notice (email sufficient). If there are changes that materially negatively impact your rights, AI Visibility Provider may seek re-acceptance via clickwrap. Continued use after the effective date of non-material changes constitutes acceptance.
4. Severability. If any provision is held unenforceable, the remaining provisions continue in full force.
5. No Waiver. Failure to enforce any provision is not a waiver.
